The Agoratopia Rewards Terms & Conditions, as detailed in this Rewards Program agreement (the “Rewards Agreement”), govern participation in the AGORATOPIA Rewards Program (“Program”). Your enrollment is contingent on compliance with this agreement. By joining the Program, you, as the “Member”, acknowledge and agree to adhere to this Rewards Agreement, including AGORATOPIA’s Terms & Conditions and Privacy & Cookie Policies. These are integrated by reference, and you must also comply with applicable EU laws. If you disagree, please refrain from becoming a Member or terminate your membership if already enrolled.

Program terms and conditions are void where prohibited by law, and taxes may apply as required. Enrollment is subject to both current and future Program terms. This agreement doesn’t modify any existing agreements you may have with us. If you don’t accept these terms, including the Rewards Agreement, Terms & Conditions, and Privacy & Cookie Policies, you cannot enroll in the Program.

1. MEMBERSHIP

1.1. Eligibility: Membership in the Program, provided at the discretion of AGORATOPIA or its affiliates/subsidiaries (“AGORATOPIA” or “we”), is open to legal residents of the European Union, including its territories and possessions, who are at least 18 years old or the age of majority in their jurisdiction of residence, whichever is older.

1.2. Voluntary Participation: Enrollment in the Program is voluntary, and no purchase or payment is required for participation.

1.3. Personal Use and Limitations: The Program is for personal use only, restricted to one account per individual. Corporations, associations, or other groups are ineligible. Employees of AGORATOPIA and their dependents cannot enroll.

1.4. Participant Limitation: AGORATOPIA reserves the right to restrict the number of participants in the Program.

2.1. Enrollment Process: Eligible individuals can enroll in the Program by visiting www.agoratopia.com (the “Site”), creating an account, and joining the Program. Existing Site account holders are automatically enrolled.

2.2. Information Requirement: To enroll, you may need to provide your full name, telephone number, mailing address, email address, and other personal information, along with creating a password. Upon submission, you’ll be enrolled in the Program and assigned a Member account. It is your responsibility to ensure the accuracy of your account information and update it as necessary.

2.3. Eligibility for Benefits: Members must furnish the necessary information to enroll and qualify for benefits and rewards, including free gifts with purchase (“Rewards”).

2.4. Account Association: Only one Member account is allowed per email address. In case of an account ownership dispute, the member associated with the email address submitted during enrollment will be considered the authorized account holder.

2.5. Authorized Account Holder Definition: For this Rewards Agreement, the “authorized account holder” is the natural person assigned to the submitted email address by an internet or online service provider responsible for assigning email addresses for the associated domain.

3.1. Earning Points: The Program, a rewards initiative, awards Members points (“Points”) for every euro spent on online transactions at www.agoratopia.com, excluding local taxes, shipping charges, employee discounts, commercial account purchases, charitable donations, returns, refunds, and items bought with a gift card, merchandise credits, or any Rewards or other awards (“qualifying purchases”).

3.2. Qualifying Purchases: To earn Points, you must either be signed into your Member account at the time of purchase or provide your Program member identification (i.e., the registered email address) during a qualifying purchase.

3.3. Points Deduction for Returns: If items from a qualifying purchase are returned, the corresponding number of Points will be automatically deducted from your account balance.

3.4. Additional Points: AGORATOPIA may, at its discretion, grant additional Points for specific transactions and promotions.

3.5. Earning and Rewards Tiers: Points can be earned by making eligible purchases or taking specified Program actions, allowing you to reach different rewards tiers. Upon reaching a tier, you may qualify for specific Rewards, subject to change and availability.

3.6. Information and Opportunities: Details about eligible purchases and opportunities to earn Points and reach Program rewards tiers will be posted on the Site or communicated through various media channels, such as marketing communications and social media.

4.1. Non-Cash Nature: Points hold no cash value, are non-negotiable, and cannot be redeemed, either wholly or partially, for cash.

4.2. Member Exclusive Accumulation: Only the Member conducting the payment for products in a qualifying purchase is eligible to accumulate Points or Rewards.

4.3. Non-Transferable Nature: Points are not the property of any Member and cannot be brokered, bartered, pledged, gifted, sold, or otherwise transferred for consideration, except by AGORATOPIA or as expressly permitted in this Rewards Agreement. Any use of Points in violation of the Agoratopia Rewards Terms & Conditions renders the Points void. Sharing or combining of accounts, Rewards, or Points is not allowed. Earned Points become eligible for redemption 72 hours after awarding.

4.4. Limited Transferability: Points cannot be combined or transferred to any other type of AGORATOPIA promotion or award.

4.5. Expiry Due to Inactivity: After 12 months of inactivity, Points may expire. Inactivity is defined as a period during which a Member neither earns nor redeems any Points.

5.1. Reward Determination: The number of Points required for a Reward is at the discretion of AGORATOPIA and may change without prior notice.

5.2. Points Monitoring: Members can track accumulated Points by signing into their online AGORATOPIA account and checking account details.

5.3. Redemption Process: To redeem Rewards, access your account at www.agoratopia.com. Upon selecting a Reward, you will receive a unique code (“Code”) to enter at checkout during your purchase.

5.4. Point Deduction: Points used for redeeming a Reward will be subtracted from the total Points in your Member account.

5.5. Non-Applicable Uses: Points cannot be applied to AGORATOPIA gift certificates, charitable items, promotional value sets, sales tax, or shipping charges.

5.6. Program Flexibility: We retain the right to modify Rewards, Points earning criteria, Program tiers, and the assessment and rewarding of eligible purchases and other Program activities.

5.7. Limitations and Conditions: Limits may be imposed on eligible purchases, tier-related activities, the number or types of Rewards obtainable in a specific tier or time period, or any combination thereof.

5.8. Redemption Terms: Rewards can only be redeemed on the Site unless expressly authorized by AGORATOPIA. Combining Rewards with other coupons or promotions is not permitted. Rewards cannot be exchanged, returned for another product or service, or refunded monetarily.

5.9. Personal Use Requirement: Products obtained through the Program are for personal use only, and resale is prohibited.

5.10. Order Adjustment Right: We reserve the right to cancel or reduce the quantity of any order or products provided if, in our sole discretion, we suspect a violation of this Rewards Agreement.

5.11. Expiry Clause: Rewards and Codes may expire if not redeemed within 12 months of issuance by the Member.

6.1. Receiving a Gift Card

6.1.1. Delivery Process: Gift cards provided by AGORATOPIA within the Agoratopia Rewards Program will be emailed to the recipient, and a delivery receipt will be sent to you.

6.2. Redeeming a Gift Card

6.2.1. Redemption Process: If not done previously, register for an AGORATOPIA account, sign in, go to My Account, and enter your gift card code under My Gift Cards. Alternatively, redeem it on the payment page during your purchase, and the gift card amount will be automatically deducted for payment.

6.2.2. Important Notes:

  • If the gift card amount exceeds the order total, the remaining balance is credited to your AGORATOPIA account.
  • If the order surpasses the gift card value, and you have existing store credit, it will be applied to cover the remaining balance.
  • Any excess beyond the gift card or store credit value must be paid with a credit or debit card.
  • Check your balance and transaction details in My Account under My Gift Cards.
  • Once a gift card is added to your account, only you can use it.
  • The balance is valid for 12 months.

6.3. Returns

6.3.1. Non-Refundable Nature: Gift cards cannot be returned or exchanged for a card refund.

6.3.2. Refund Process: Returned items paid with a gift card will be refunded as store credit to your AGORATOPIA account for future use. If an item was paid with both a gift card and credit card, the credit card will be refunded up to the initial card payment amount, and the remainder will be issued as store credit.

6.3.3. Return Procedure: To return an item purchased with a gift card, refer to the provided guidelines here.

7.1. Marketing Communications: As a member, you may receive periodic marketing emails from AGORATOPIA regarding the Program.

7.2. Opt-Out Option: You have the option to opt-out of marketing emails at any time. However, operational emails essential to your Program membership, such as welcome emails and Rewards updates, will continue to be sent.

8.1. Program Management: AGORATOPIA retains the right to cancel, modify, or restrict any aspect of the Program at its discretion, with or without notice. Membership may be revoked at any time, and it is nontransferable.

8.2. Program Abuse: Abuse, failure to adhere to Program terms, or misrepresentation may result in Membership revocation and impact eligibility for further enrollment.

8.3. Remedies for Violations: AGORATOPIA reserves the right to pursue remedies, whether legal or equitable, criminal or civil, for fraud, abuse, failure to comply with Program terms, or misrepresentation.

8.4. Transaction Records: Program purchases in AGORATOPIA records are deemed accurate, and AGORATOPIA can determine transaction qualification and adjust Rewards based on its records and account information.

8.5. Communication Responsibility: AGORATOPIA is not liable for lost communications or Rewards due to inaccuracies or changes in address or contact information.

8.6. Governing Law and Jurisdiction: The Program is governed by Cyprus laws, and Members submit to the jurisdiction of local courts in Cyprus for dispute resolution arising from this Rewards Agreement.

8.7. Tax Responsibilities: Taxes on Rewards, where required by law, are the sole responsibility of the Member, including disclosure.

8.8. Reward Updates: Periodic updates to Rewards balances and values will occur in the Program. Check your account details for the latest Point balances.

8.9. AGORATOPIA Discretion: AGORATOPIA may, at its discretion, waive compliance with these terms and run promotions offering enhanced benefits to select Members.

8.10. Rights Exercise: AGORATOPIA’s failure to exercise its rights under this Agreement or delay in doing so shall not constitute a waiver of those rights.

8.11. Concerns and Contact: If you have concerns about an activity not applied to your account, contact us at [email protected], specifying your name, associated email address, date of Program activity, and the issue encountered. 9.1. Program Duration: The Program has no predetermined termination date and will continue until AGORATOPIA, at its sole discretion, designates a termination date.

9.2. Termination Notification: Upon termination, AGORATOPIA will notify you of the termination date.

9.3. Account Inactivity: AGORATOPIA may, without notice, expire a Member’s account after one year of inactivity.

9.4. Points Handling: No extensions, cash refunds, or exchanges will be permitted for Points removed due to account inactivity.

9.5. Deactivation Rights: AGORATOPIA can deactivate an account if Points were acquired through fraudulent activity or technical failures.

9.6. Account Management: To reactivate an account, cancel Program enrollment, or opt-out of communication, notify AGORATOPIA at [email protected].

9.7. Point Loss on Expiry or Cancellation: All accrued Points are forfeited if your Member account expires or is canceled, and redemption of any remaining Points for Rewards becomes unavailable.

By enrolling in the Program and redeeming Rewards, the Member acknowledges and agrees:

AGORATOPIA, its affiliates, subsidiaries, officers, directors, employees, representatives, and agents (collectively, the “Released Parties”) bear no liability or responsibility for any injuries, losses, or damages (including, but not limited to, direct, indirect, incidental, special, consequential, or punitive damages) arising, directly or indirectly, from actions taken or neglected in connection with the Program, except for errors in posting Points to accounts.

The Released Parties are not responsible for:

  • Loss or misdirection of, or delay in receiving, any membership application, data, correspondence, or Rewards.
  • Theft or unauthorized redemption of credits or Rewards caused by circumstances beyond their reasonable control.
  • Acts or omissions of third parties.
  • Errors published regarding the Program, including, but not limited to, typographical errors, errors of description, and errors in crediting or debiting credits from Member accounts. AGORATOPIA reserves the right to correct errors without notice.

In no event shall the Released Parties be liable for any delay in or failure to perform due to causes beyond their control, including, but not limited to, acts of God, war, natural disasters, terrorism, or acts or omissions of third parties.

Except as otherwise specified in these Program Rules, everything related to the Program, including the Site and Rewards, is provided “as is” without warranty of any kind, either express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Some jurisdictions may not allow the limitation or exclusion of liability for incidental or consequential damages or exclusion of implied warranties, so some of the above limitations or exclusions may not apply.

This section will survive the termination of the Member’s enrollment in the Program.

This Agreement constitutes the entire agreement between the parties, superseding all prior agreements and representations. Headings used are for reference only and do not define or limit the section’s scope.

If any provision is deemed unenforceable, it shall be reformed to the extent necessary, and other terms shall remain in full force.

AGORATOPIA’s failure to act regarding a breach does not waive its rights. This Agreement is governed by and construed under Cal law, without regard to conflicts of law provisions.

We value intellectual property rights. If you believe that your work has been copied and is accessible on AGORATOPIA sites in a manner constituting copyright infringement, please contact us to report potential copyright infringement.
